We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Security

To access certain features of the Service, you must register for an account. When you register, you agree to:

Create QR codes that link to illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
Violate any applicable laws or regulations
Infringe upon the intellectual property rights of others
Transmit any viruses, malware, or other malicious code
Attempt to gain unauthorized access to our systems or networks
Interfere with or disrupt the Service or servers
Use the Service for any fraudulent or deceptive purposes
Collect or harvest information about other users
Create QR codes for phishing, scams, or spam
Violate any third-party rights

We reserve the right to investigate and take appropriate legal action against anyone who violates this Acceptable Use Policy.

5. Subscription and Payment Terms

Free Plan:

Our free plan includes basic features with limitations on the number of dynamic QR codes and scans.

Paid Plans:

Paid subscription plans provide access to additional features, higher limits, and priority support.

Billing:

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees incurred.

Automatic Renewal:

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Cancellation:

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period.

Refunds:

We do not offer refunds for partial months or years of service. No refunds will be issued for any unused time on a subscription.

Price Changes:

We reserve the right to change subscription fees upon 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price.

6. QR Code Usage and Ownership

Ownership:

You retain all ownership rights to the content you link through QR codes created using our Service.

License to Us:

By using our Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, and display your QR codes as necessary to provide the Service.

Dynamic QR Codes:

Dynamic QR codes remain functional only while you maintain an active subscription. If your subscription expires, dynamic QR codes may cease to function.

Static QR Codes:

Static QR codes remain functional indefinitely, as they contain the destination URL directly.

QR Code Content:

You are solely responsible for the content to which your QR codes link. We do not monitor or control the content of linked destinations.

Commercial Use:

You may use QR codes generated through our Service for commercial purposes, subject to these Terms.

7. Data and Analytics

Scan Data:

We collect and store data about QR code scans, including timestamps, locations, device types, and referral sources.

Aggregated Data:

We may use aggregated, anonymized data for improving our Service, research, and marketing purposes.

Data Retention:

Scan data is retained according to your subscription plan. Free plan users may have limited historical data retention.

Export:

You may export your data at any time through your account dashboard.

Data Deletion:

Upon account deletion, your QR codes and associated data will be permanently deleted within 30 days.

8. Intellectual Property Rights

Our IP:

The Service and its original content, features, and functionality are owned by QRNitro and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Trademarks:

QRNitro, our logo, and any other product or service names are trademarks of QRNitro. You may not use these marks without our prior written permission.

User Content:

You retain ownership of any content you submit through the Service. However, you grant us a license to use, display, and distribute such content as necessary to provide the Service.

Third-Party Content:

Our Service may contain links to third-party websites or services. We do not endorse or assume responsibility for any third-party sites or content.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: • The Service will be uninterrupted, timely, secure, or error-free • The results obtained from using the Service will be accurate or reliable • The quality of any products, services, information, or other material obtained through the Service will meet your expectations • Any errors in the Service will be corrected

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QRNITRO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of or inability to access or use the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your transmissions or content

THE TOTAL LIABILITY OF QRNITRO FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless QRNitro and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

Your use of and access to the Service
Your violation of any term of these Terms
Your violation of any third-party right, including intellectual property, privacy, or publicity rights
Any claim that your use of the Service caused damage to a third party
Any content you submit, post, or transmit through the Service

12. Termination

By You:

You may terminate your account at any time by following the account deletion process in your account settings.

By Us:

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including: • Breach of these Terms • Violation of our Acceptable Use Policy • Fraudulent or illegal activity • Non-payment of fees • At our discretion for any reason

Effect of Termination:

Upon termination: • Your right to use the Service will immediately cease • We may delete your account and all associated data • Dynamic QR codes will cease to function • Any outstanding fees become immediately due and payable • Provisions that by their nature should survive termination shall survive

13. Governing Law and Dispute Resolution

Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Dispute Resolution:

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court.

Class Action Waiver:

You agree to resolve disputes on an individual basis only, and not as part of any class or representative action.

Venue:

Any arbitration or litigation shall take place in San Francisco County, California.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by:

Updating the "Last Updated" date
Sending an email notification to registered users (for material changes)

Waiver:

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Force Majeure:

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

Relationship:

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and QRNitro.
